FRANCHISE & SERVICE PROVIDER AGREEMENT 

2.2 Third-Party Decisions: Financial or commercial decisions are made solely by the respective bank, NBFC, or insurance company. Uttra Finserve does not control such decisions and is not responsible for rejections, delays, or changes of terms.

3.1 Software Access: Subject to payment of applicable charges, Uttra Finserve provides access to selected CRM/SaaS features, tools, APIs, and customer management functions based on the chosen plan.

3.2 Account Security: Customers are responsible for maintaining credential confidentiality, protecting passwords/OTPs, and notifying Uttra Finserve immediately of any unauthorized access.

3.3 Platform Availability: Reasonable efforts will be made to maintain uptime. Temporary downtime for scheduled maintenance, API downtime, or server issues does not create automatic refund rights.

3.4 Third-Party Services: Features relying on third-party APIs or credit bureaus are subject to the availability and performance of external providers.

3.5 Customer Data: Customer represents that all uploaded data is accurate, lawfully obtained, and submitted with proper permissions.

4.1 Payment Terms: Subscriptions, wallet top-ups, API, and verification charges are payable as per the selected plan before service activation.

4.2 No Refund Policy: ALL PAYMENTS MADE TO UTTRA FINSERVE ARE FINAL, NON-REFUNDABLE, AND NON-TRANSFERABLE, except where explicitly required by applicable law.

4.3 Payment Disputes: Fraudulent chargebacks or disputes may result in immediate service suspension, account termination, and legal recovery procedures.

All platform software, CRM interfaces, brand assets, and source codes remain the exclusive property of Uttra Finserve. Reverse engineering, unauthorized resale, identity theft, or fraudulent usage is strictly prohibited.

This Agreement is governed by the laws of India. Any legal disputes shall be subject to the exclusive jurisdiction of the competent courts in Uttarakhand, India.
